Begini Howard Residency — Enrollment Agreement (Individual)
Between BHR LLC (“BHR”), a Vermont limited liability company, and the undersigned (“Participant”), effective the date signed below. Term: six (6) months from the cohort start date stated on BHR’s invoice. Cohorts are limited to ten (10) new seats per month across all tiers; a Prime-tier enrollment occupies two seats. BHR delivers the Residency in partnership with BHPE LLC (“BHPE”), an active government contractor and a separate company.
1. Core deliverables (both paths). Tuition buys, and BHR guarantees: (a) the Residency curriculum — federal and state solicitation analysis, vendor identification and outreach, pricing, and quote/proposal assembly; (b) a guaranteed seat in the Live-Bid Practicum, working real, open solicitations on BHPE’s live pipeline under principal supervision — no fewer than three (3) live opportunities, selection at BHR’s discretion; (c) submission handled for Participant: until Participant’s first Covered Award, submission to the customer is performed exclusively by BHPE’s team; after that first award, the curriculum adds submission practice and contract-execution training; (d) a capstone reviewed by program principals; and (e) upon completion in good standing and eligibility under Section 6, the opportunity to execute BHPE’s Associate Agreement at no cost — a separate agreement with a separate company, on its own terms.
2. Path selection (choose one). ☐ Earn-Back ☐ Leverage
Earn-Back (all-or-nothing). No profit share applies to work performed during the Term; Participant’s path to the Associate commission is BHPE’s Associate Agreement at completion in good standing (or upon switching to Leverage). THE CHALLENGE: submit 100 Qualifying Quotes within the Term and BHR rebates 100% of tuition ($25,000) within fifteen (15) days of the 100th. Fewer than 100 Qualifying Quotes — even 99 — earns no rebate in any amount. This is a tuition rebate, not wages or compensation. Initials: ________
A Qualifying Quote is a quote that meets all of the following: (i) prepared by Participant on an open federal or state opportunity claimed by Participant in the shared tracker — one participant per solicitation, first claim controls; (ii) responsive to the solicitation’s requirements; (iii) total quoted value of at least $20,000; (iv) delivered to the submission desk at least twenty-four (24) hours before the solicitation’s due date/time; and (v) submitted by the desk to the customer under BHPE’s name — or counted under the desk-failure rule below.
For on-time packages, the desk — within two (2) business days of receipt or before the solicitation deadline, whichever comes first — does one of two things: submits the package under BHPE’s name (it counts) or returns it with written reasons (it does not count; Participant may revise and resubmit without limit, subject to the same deadlines — earlier delivery leaves room to clarify, fix, and resubmit before the deadline). An on-time package that is neither submitted nor returned with written reasons before the solicitation deadline counts as a Qualifying Quote. Packages received less than twenty-four (24) hours before the due date/time may be handled at the desk’s discretion but carry no commitments and no count protection. A live shared tracker, visible to Participant at all times, is the official record of claims, package receipt times, desk actions, and the quote count.
BHR will maintain an opportunity pool refreshed on business days with open opportunities reasonably capable of meeting the Qualifying-Quote criteria; if for any period the pool lacks claimable opportunities meeting those criteria, the 100-quote quota prorates for that period. Participant may switch from Earn-Back to Leverage at any time by written election. The election is irrevocable and ends the Challenge — after switching, no rebate is available in any amount. Leverage benefits begin within five (5) business days of the election and run for the remainder of the Term, including eligibility to execute BHPE’s Associate Agreement upon switching. Switching from Leverage to Earn-Back is not permitted. Documented medical incapacity extends the Term day-for-day, up to sixty (60) days.
Leverage. BHR provides for the Term: (a) a dedicated virtual assistant supporting Participant’s Residency work (20 hours/week); (b) a premium AI research-and-drafting tool subscription; and (c) full access to the opportunity pool from day one. The program goal — a goal, not a commitment or guarantee by either party — is one hundred (100) submitted proposals during the Term. Participant may execute BHPE’s Associate Agreement (20% of Gross Profit on Covered Awards, per its terms) at enrollment.
3. Not a job. The Residency is education and supervised practice — not employment, job placement, a franchise, or an investment. Neither BHR nor BHPE guarantees any income, commission, contract award, or business result. The Earn-Back rebate depends entirely on Participant completing the Challenge.
4. Tuition. $25,000 USD, paid to BHR in a single transaction by wire or ACH before Residency access begins. Earn-Back tuition is held in reserve until the Challenge resolves.
5. NO REFUNDS. All tuition payments are final and non-refundable upon execution of this Agreement. Sole exceptions: a refund required by applicable law, or BHR’s failure to commence the cohort within thirty (30) days of the stated start date, in which case Participant may request a full refund. The Earn-Back rebate is earned under the Earn-Back path and is not a refund. Initials: ________
6. Completion and eligibility. The Residency is not offered to residents of Oklahoma. “Completion in good standing” means finishing the capstone and syllabus deliverables with no material violation of Section 7. Associate Agreement eligibility additionally requires: U.S. work authorization; not suspended, debarred, or proposed for debarment in SAM.gov; completed IRS W-9. BHPE’s Associate Agreement is free, and available without the Residency to applicants with equivalent experience via BHPE’s application.
7. Conduct. Participant will keep confidential all solicitation documents, agency communications, pricing, vendor quotes, and Residency materials (BHR and BHPE property, licensed for personal use only); will not contact any agency, official, vendor, or subcontractor in BHR’s or BHPE’s name without prior written approval — a Desk Account issued under BHPE’s Desk Email Policy carries standing approval for vendor pricing inquiries, strictly within that policy’s scope; everything else still requires approval in each instance; and will comply with all applicable law, including the Procurement Integrity Act. Material violation permits removal without refund and voids the unearned rebate.
8. Acknowledgments (initial each). ____ I accept the no-refund policy in Section 5. ____ (Earn-Back) I understand the rebate is all-or-nothing: 100 Qualifying Quotes within the Term earns a full rebate; fewer earns none, Term work carries no profit share, and any switch to Leverage is one-way, final, and ends the Challenge. ____ I understand no income or result is guaranteed. ____ I understand this is not employment or job placement, and that BHR and BHPE are separate companies — any commission relationship is a separate agreement with BHPE. ____ I am at least 18 and rely only on this Agreement’s written terms, not on statements by any affiliate, influencer, or other third party. ____ I had the opportunity to seek independent advice before signing. ____ Tuition funds are mine and not borrowed for this purpose.
9. Disputes, liability, general. Vermont law governs. Written notice and a thirty (30)-day informal-resolution window precede any claim. Except for small-claims matters, any dispute arising from or relating to this Agreement — including this Section’s scope or enforceability — is resolved by binding individual arbitration in Chittenden County, Vermont under AAA rules; both parties waive class actions and jury trial. Claims must be brought within one (1) year of accrual, where permitted by law. BHR’s total liability is capped at tuition actually paid, less any rebate paid; no consequential, incidental, or punitive damages — each limit applying except where prohibited by law. Entire agreement; unenforceable provisions severed.
